Welcome to MysticMarkets. These Terms of Service (the “Terms”) govern your access to and use of the MysticMarkets website at https://mysticmarkets.appand any related services we offer (collectively, the “Service”).

By creating an account, accessing, or otherwise using the Service, you (“you” or “User”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

The Service is operated by the MysticMarkets team (“MysticMarkets,” “we,” “us,” or “our”). You can reach us at support@mysticmarkets.app.

We may modify these Terms at any time. If we make material changes, we’ll update the “Last updated” date above and, where reasonable, notify you (e.g., by email or an in-app notice). Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms.

MysticMarkets is a research and educational platform that aggregates publicly available regulatory disclosures — including SEC EDGAR filings (10-K, 10-Q, 8-K, Form 4, 13F), United States Congressional STOCK Act disclosures, and related public market data — and presents them in an analytical interface for individual investors and researchers.

The Service is provided as a research tool. We do not provide brokerage services, custody assets, execute trades, or offer personalized financial advice.

The data, analytics, rankings, summaries, and any other outputs displayed on MysticMarkets are derived from public regulatory filings and other publicly available sources. None of this content:

• Constitutes an offer or solicitation to buy or sell any security;
• Constitutes a recommendation or endorsement of any investment strategy or security;
• Has regard to the specific investment objectives, financial situation, risk profile, or particular needs of any specific user;
• Is intended as legal, tax, accounting, or financial-planning advice.

Tracking the public trades of hedge funds, members of Congress, or corporate insiders does not mean you should mimic those trades. Other parties may have information, time horizons, hedging positions, regulatory constraints, or risk tolerances entirely different from yours.

The Service ingests data from third-party sources, including but not limited to the U.S. Securities and Exchange Commission EDGAR system, the U.S. House Clerk, the U.S. Senate Office of Public Records, public 13F and Form 4 filings, market data feeds, and other publicly available sources.

We do not warrant the accuracy, completeness, timeliness, or reliability of any data presented on the Service. Source data may contain errors, be amended by filers, be filed late, or be entirely absent for some entities. We are not the originator of this data and have no relationship with the filers.

Any aggregation, ranking, derivation, summary, or other computed output is produced on a best-effort basis. We make no representation that any such output is fit for any particular purpose, including but not limited to making investment decisions.

You must be at least 18 years old and legally able to enter into a binding contract under applicable law to use the Service. By using the Service, you represent and warrant that you meet these requirements.

The Service is not directed to, and we do not knowingly collect personal information from, anyone under the age of 13. If you believe a minor has used the Service, contact us immediately so we can remove the account.

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update that information;
• Keep your password and credentials confidential and not share your account with anyone;
• Notify us promptly at support@mysticmarkets.app of any unauthorized access or use of your account.

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation, including securities laws;
• Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service;
• Interfere with, disrupt, or impose an unreasonable load on the Service, including by means of denial-of-service attacks, automated requests, or aggressive crawling;
• Use any robot, spider, scraper, automated tool, or other automated means to access the Service or scrape, copy, or redistribute Service content, except for limited non-commercial personal use or as permitted by a written agreement with us;
• Reverse engineer, decompile, or otherwise attempt to derive the source code or underlying ideas of the Service;
• Resell, sublicense, lease, rent, distribute, or otherwise make the Service or its content available to third parties without our written consent;
• Use the Service to develop a competing product or service;
• Misrepresent your identity, impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• Upload, post, or transmit any content that is unlawful, defamatory, obscene, threatening, harassing, or invasive of another’s privacy;
• Use the Service in any way that could damage, disable, or impair the Service or interfere with any other party’s use of the Service.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including suspending or terminating accounts and reporting users to law-enforcement authorities.

The Service, including its software, design, text, graphics, and other content (excluding User Content, defined below, and underlying third-party data which is owned by the original filer or source), is owned by MysticMarkets and is protected by copyright, trademark, and other laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial research purposes, subject to these Terms. All rights not expressly granted are reserved.

“MysticMarkets” and any associated logos are our trademarks. You may not use them without our prior written permission.

If you submit comments, feedback, suggestions, ideas, or other content to the Service (“User Content”), you grant us a perpetual, worldwide, royalty-free, irrevocable, transferable, sublicensable license to use, reproduce, modify, distribute, and display that User Content in connection with the Service and our business.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any third party’s rights or any applicable law.

The Service may display links to third-party websites or services, including links to the original SEC filings, the U.S. House Clerk, the U.S. Senate, or other sources. We do not endorse, warrant, or assume responsibility for any third-party content or services. Your interactions with third parties are solely between you and those third parties.

You agree to defend, indemnify, and hold harmless MysticMarkets, its operators, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your access to or use of the Service;
• Your violation of these Terms;
• Your violation of any third-party right, including any intellectual-property or privacy right;
• Any claim that User Content you submitted caused damage to a third party;
• Your violation of any applicable law, including securities laws.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, and you agree to cooperate with us in such defense.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Service and delete your account at any time by emailing support@mysticmarkets.app.

Sections that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, intellectual-property provisions, and dispute-resolution provisions — will survive.

If you believe content on the Service infringes your copyright, send a written notice (a “DMCA Notice”) to support@mysticmarkets.app containing:

• A physical or electronic signature of the copyright owner or person authorized to act on their behalf;
• Identification of the copyrighted work claimed to have been infringed;
• Identification of the allegedly infringing material and information sufficient to allow us to locate it (URL is ideal);
• Your contact information;
• A statement, under penalty of perjury, that you have a good-faith belief that the use is not authorized; and
• A statement that the information in your notice is accurate.

We will respond to valid DMCA Notices in accordance with the Digital Millennium Copyright Act.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

You and MysticMarkets agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS pursuant to its then-current Streamlined Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or another mutually agreed location (or by video conference). Judgment on the award may be entered in any court of competent jurisdiction.

Class-action and jury-trial waiver. You and MysticMarkets each waive any right to a jury trial and any right to participate in a class action, representative action, or consolidated arbitration. Disputes must be brought individually.

Notwithstanding the foregoing, either party may bring an individual action in small-claims court for disputes within its jurisdiction, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual-property rights.

Opt-out. You may opt out of the arbitration and class-waiver provisions of this Section by emailing support@mysticmarkets.app within 30 days of first accepting these Terms, with the subject line “Arbitration Opt-Out” and including your account email.

We will not be liable for any delay or failure to perform under these Terms caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network or power outages, strikes, labor disputes, equipment failures, or service-provider failures.

• Entire Agreement. These Terms (together with the Privacy Policy) constitute the entire agreement between you and MysticMarkets regarding the Service and supersede any prior agreements.
• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms freely.
• No Agency. No agency, partnership, joint venture, or employment relationship is created between you and us by these Terms.
• Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
